1. Acceptance of Terms

1.1 Agreement to Terms

Nurbid, LLC, a Georgia limited liability company ("Nurbid," "we," "us," or "our"), provides technology consulting and related services. By accessing or using our services, websites, client portal, or other offerings (collectively, the "Services"), you agree to be bound by these Terms of Service (the "Terms" or "Agreement").

1.2 Modifications

We may modify these Terms at any time. We will notify you of significant changes, but you are responsible for periodically reviewing the most current version of these Terms at [link to ToS page]. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

1.3 Non-Acceptance

If you do not agree to these Terms, you must not use our Services.

2. Description of Services

2.1 Service Offerings

Nurbid, LLC offers technology consulting services, including:

2.2 Service Specifics and Commitments

  • Service Level Commitments (Hosting):
    • 99.9% uptime for hosting services
    • Support response within 24 business hours
    • Emergency support response within 4 business hours
    • Support available during business hours (Monday-Friday, 9 AM – 5 PM EST)
  • Service Level Commitments (IT Retainer):
    • Response times and support hours vary by retainer package
    • See retainer agreement for specific SLA details
  • Service Delivery:
    • Remote: Telephone, Email, Messaging, Remote Access
    • On-site: Available when required (additional charges may apply)
    • Hours: Based on retainer package selected
  • Relationship:
    • Nurbid, LLC acts as independent contractor
    • Services performed at Nurbid, LLC's discretion
    • Client retains Nurbid, LLC solely for specified Services

3. Client Obligations and Online Conduct

3.1 Client Responsibilities

You agree to:

  • Use the Services only for lawful purposes and in compliance with all applicable laws and regulations
  • Provide accurate and complete information as required for the provision of Services
  • Cooperate with Nurbid, LLC in a timely manner to facilitate the delivery of Services
  • Comply with any acceptable use policies or guidelines provided by Nurbid, LLC
  • Not post any unlawful, harmful, threatening, abusive, harassing, defamatory, or obscene material

3.2 Account Security

You are responsible for all activity occurring under your account and for maintaining the confidentiality of your account credentials.

3.3 Prohibited Content

You must not use our hosting services to store or distribute:

  • Copyrighted material without proper authorization
  • Child pornography
  • Any illegal or harmful content

4. Intellectual Property and Licensing

4.1 Company Rights and Tools

  • Nurbid, LLC retains all rights to:
    • Tools and methodologies
    • Pre-existing code and know-how
    • Trademarks and branding
  • No unauthorized use of Nurbid, LLC's:
    • Trademarks or logos
    • Trade names
    • Branding elements

4.2 Client Licensing

  • Development Deliverables:
    • Non-exclusive, perpetual license upon full payment
    • Custom code licensed per project agreement
    • Third-party components used per their licenses
  • Client Branding:
    • License granted to Nurbid, LLC for service delivery
    • No unauthorized co-branding or framing

5. Data Handling and Privacy

5.1 Data Management

  • Processing and Storage:
    • Through Nurbid Client Portal (Upmind)
    • Accessible to Nurbid, LLC personnel
    • Retained for service duration plus 30 days
    • Deleted within 60 days of termination

5.2 Security and Privacy

  • Client Responsibilities:
    • Data security and integrity
    • Necessary consents for processing
    • Compliance with applicable laws
  • Nurbid, LLC Commitments:
    • Reasonable security measures
    • GDPR and CCPA compliance
    • Confidentiality of all client information
  • Transmission Security:
    • No guarantee of total security
    • Transmission at client's risk
    • Best efforts to protect information

5.3 Confidentiality

  • All proposal and account information confidential
  • No disclosure without written consent
  • Exceptions for:
    • Publicly available information
    • Legally required disclosures
    • Information disclosed without restriction

6. Payment and Refund Terms

6.1 Payment Schedule and Processing

  • Immediate Payment Required For:

    • Domain Registration
    • Hosting Services
    • IT Retainer Services

  • Project-Based Services:

    • Terms specified in project proposal
    • Non-refundable deposit may be required
    • All amounts in USD

  • Payment Methods:

    • Processed via Nurbid Client Portal
    • PayPal Business or Stripe
    • Accepted methods: PayPal balance, linked bank account, credit/debit cards

  • Late Payments:

    • 1.5% monthly interest on overdue amounts
    • Service suspension after 30 days of non-payment
    • Disputes must be raised within 7 days of invoice date

6.2 Retainer Services

  • Monthly renewal unless cancelled
  • Unused hours forfeited upon termination
  • Additional charges for:
    • Cloud services
    • Off-site visits
    • Equipment/software purchases
  • Separate invoicing for expenses (15-day terms)

6.3 Refund Policy

  • New Subscribers:

    • 7-day money-back guarantee
    • Applies only if no billable work has begun (excluding initial consultation)
    • Must be requested in writing
    • Processed through original payment method

  • Existing Subscribers:

    • No refunds for unused retainer hours
    • No refunds for completed work
    • No refunds for terminated services

7. Third-Party Content and Products

7.1 General Terms

  • We are distributors, not publishers, of third-party content
  • No editorial control over third-party content
  • No responsibility for third-party opinions, advice, or materials

7.2 Third-Party Products

  • No warranties for third-party products
  • No liability for third-party product claims or breaches
  • Use of third-party products at your own risk

8. Termination and Cancellation

8.1 General Terms

  • 30 days written notice required for termination
  • Immediate termination for Terms breach or fraudulent activity
  • Outstanding fees must be paid upon termination

8.2 Service-Specific Terms

  • Hosting Services:

    • Cancel anytime
    • No refunds for unused period

  • Retainer Services:

    • 30 days notice required
    • Unused hours forfeited
    • No refunds for unused hours

  • Development Projects:

    • 0-25% complete: 75% of remaining balance
    • 26-50% complete: 50% of remaining balance
    • 51-75% complete: 25% of remaining balance
    • 76-100% complete: No refund

9. Disclaimer and Liability

9.1 Service Warranty and Liability

  • Services provided "as is" and "as available"
  • No warranties of merchantability, fitness, or non-infringement
  • Maximum liability: $100 per claim
  • No liability for:
    • Indirect or consequential damages
    • Lost profits or revenues
    • Service interruptions
    • Force majeure events
    • Third-party actions or content
    • Security breaches resulting from client negligence
  • Aggregate liability capped at total amount paid in preceding 12 months

9.2 Force Majeure

  • No liability for events beyond reasonable control
  • Includes: natural disasters, war, terrorism, government actions, utility failures
  • 30-day threshold for service suspension
  • Proportional billing during partial performance

10. Indemnification

10.1 Indemnification Obligations

You agree to indemnify, defend, and hold harmless Nurbid, LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services
  • Your breach of these Terms
  • Your violation of any law or third-party rights
  • Any content you store or transmit using our Services

11. Dispute Resolution

11.1 Arbitration

  • Binding arbitration under AAA rules
  • Location: Atlanta, Georgia
  • Single neutral arbitrator
  • Each party bears own costs, splits arbitrator fees
  • Confidential proceedings
  • One-year filing deadline

11.2 Class Action Waiver

  • Waiver of right to participate in class actions
  • Individual claims only

12. Governing Law

12.1 Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles.

13. Miscellaneous

13.1 Entire Agreement

These Terms constitute the entire agreement between you and Nurbid, LLC relating to the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.

13.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

13.3 Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by both parties.
